STANDARD TERMS AND CONDITIONS OF SALE

Applicable to all transactions with A Bass Company Limited

1. Applicability of Terms

These Standard Terms and Conditions of Sale (“Terms”) govern all sales of goods and services by A Bass Company Limited (“the Company”). By placing an order, the client accepts these Terms in full. The client expressly waives any of their own general terms and conditions, unless explicitly agreed in writing by the Company.

2. Payment Terms

Unless otherwise stated in writing, all invoices must be settled within 21 working days from the invoice date. In the case of delayed payment, the Company reserves the right to apply a fixed late fee of 10% of the outstanding amount. We also reserve the right to suspend services or deliveries without prior notice if payments are overdue.

3. Overdue Accounts and Debt Recovery

If payment remains outstanding for more than 60 days, the Company may refer the matter to a licensed debt recovery agency, and the client shall be responsible for all legal and collection-related costs incurred.

4. Taxes and Withholding

All prices quoted are exclusive of taxes and government charges. If the client’s jurisdiction applies withholding tax or similar deductions, such amounts must be paid by the client directly to the local tax authority. A Bass Company Limited must receive full payment as invoiced, without any deductions.

5. Delivery and Performance

The Company shall make every reasonable effort to deliver goods and services within the agreed timeframe. However, all obligations are on a best-effort basis and not guarantees of specific results. The Company shall not be liable for delays or performance issues beyond its control.

6. Claims and Complaints

Any concerns or claims regarding goods delivered or services rendered must be reported to the Company in writing within 8 days of delivery. Claims must be submitted by registered post or formal email correspondence to be considered valid.

7. Limitation of Liability

The Company shall not be held liable for indirect or consequential damages, nor shall it be required to participate in legal proceedings involving claims made against the client by third parties, including consumers.

8. Governing Law

All contracts, agreements, and transactions with A Bass Company Limited shall be governed by the laws of the Hong Kong Special Administrative Region. Any disputes arising shall fall under the exclusive jurisdiction of the Hong Kong courts.
